1. About these terms
These terms cover your use of www.ibdaxdigital.com (the “website”). By using the website, you agree to them. If you do not agree, please do not use the website.
These terms also set out our standard payment terms for client work (Section 6). If you hire us, your written proposal or agreement can add to or change them; where they differ, your written agreement wins.
2. Who we are
The website is run by ibdaX Digital (“ibdaX”, “we”, “us”), a Pakistan-based digital agency serving clients in the United States, the United Kingdom and Canada.
- Address: Suite LS3, 1st Floor, Block 14, Gulistan-e-Johar, Karachi, Pakistan
- Email: info@ibdaxdigital.com
3. Using the website
You may use the website to learn about our services, read our blog and contact us. Please do not:
- use the website for anything unlawful or fraudulent;
- send spam, automated submissions or false information through our contact form;
- try to gain access to parts of the website you are not allowed to use, including the admin area;
- interfere with the website’s security or performance, or introduce viruses or harmful code;
- copy large parts of the website, or scrape it, for commercial use without our written permission.
We may change, pause or remove any part of the website at any time. We try to keep it available, but we do not promise it will always be available or free of errors.
4. Prices shown on the website
- Prices on our service pages are starting prices in US dollars. They show where a typical engagement begins.
- Your final price is set in a written quote after a free 30-minute consultation, based on your scope.
- For pay-per-click (PPC) management, ad spend is billed separately and paid to the ad platform; it is not part of our fee.
- A price on the website is not an offer you can accept by itself. Nothing is agreed until we both sign a written proposal or agreement.
5. Working with us
If you decide to work with us, the engagement runs under its own documents, which take priority over anything on the website:
- a mutual NDA, signed before work starts;
- a written proposal with milestones and an agreed delivery date;
- the written agreement for the engagement (an initial engagement of 4 months, followed by a long-term contract if you are happy with the results).
Service descriptions on the website, including our commitments (for example, a first response to support requests within 24 hours on business days, and 30 days of post-launch support on Shopify and e-commerce projects), summarize how we work. The exact terms for your project are the ones in your written agreement.
6. Payment terms
Unless your written agreement says otherwise:
- Currency. All prices and invoices are in US dollars (USD).
- Retainers. Monthly retainers are billed monthly in advance. Work for a month starts once that month’s invoice is paid.
- Projects. A 50% deposit is due to start the project, and the remaining 50% is due on delivery, before final files are handed over. Larger projects can instead be split into payments tied to agreed milestones.
- Late payment. If an invoice is more than 7 days overdue, we will tell you in writing and may pause work until it is paid.
- Refunds. The project deposit is non-refundable once work has started. Retainer fees for a month already in progress are not refunded.
- Cancellation. Retainers have a 4-month initial term. After that, either side can end the retainer with 30 days’ written notice. Work completed and paid for up to that point is yours.
- Third-party costs. Costs from other providers, such as ad spend, apps, hosting and stock assets, are paid by you directly, or approved by you in advance.
7. No guarantee of results
Marketing, advertising and search results depend on many things outside our control, such as search engine and platform changes, competition, your market and your budget. Content on the website describes our services and process. It is not a promise of any particular ranking, traffic, number of leads, sales or return on ad spend.
8. Blog and other information
Our blog and service pages are general information to help you understand digital marketing, design and development. They are not professional, legal or financial advice for your situation. We try to keep them accurate and up to date, but things change quickly, so please check before relying on them.
9. Intellectual property
The website’s content, including text, graphics, illustrations, videos, the ibdaX name and logo, and the site’s design, belongs to us or is used with permission. You may view it, and share links to it, for your own non-commercial use. Please do not copy, republish or sell it without our written permission.
Ownership of work we create for clients is set out in each client’s written agreement, not in these terms.
10. Client logos and other brands
- Client logos. The logos in our “Brands we’ve worked with” section belong to real clients and are shown with their permission. They remain the trademarks of their owners.
- Tool and platform names. We mention and show tools and platforms we work with (such as Google Ads, Meta, Shopify). Those names and logos are trademarks of their owners. Showing them does not mean we are a partner of, or endorsed by, those companies, unless we say so expressly.
11. Links to other websites and services
The website links to other sites and services, such as WhatsApp and our social media profiles. We do not control them and are not responsible for their content, availability or privacy practices. Their own terms apply when you use them.
12. Your information
How we handle personal information you share with us is explained in our Privacy Policy.
13. Limitation of liability
The website is provided free of charge and “as is”. To the extent the law allows:
- we are not liable for any loss caused by relying on general information on the website, or by the website being unavailable;
- we are not liable for indirect or consequential losses, or for loss of profit, revenue, data or business opportunity, arising from your use of the website.
Nothing in these terms limits or excludes liability that cannot be limited or excluded by law, for example liability for fraud, or for death or personal injury caused by negligence. Nothing in these terms affects your statutory rights.
Our liability to clients for project work is set out in each client’s written agreement.
14. Governing law
These terms are governed by the laws of Pakistan. Disputes about them will be handled by the courts of Karachi, Pakistan. If you live in a country whose consumer laws give you rights that cannot be changed by agreement, you keep those rights.
15. Changes to these terms
We may update these terms from time to time. The effective date at the top shows the latest version. If you keep using the website after a change, the updated terms apply.
